1. Services

Frontend Core provides product, design, engineering, and growth services to clients under separate written agreements (each, a “Statement of Work”). The specific scope, deliverables, timeline, fees, and payment terms for each engagement are defined in the applicable Statement of Work, which takes precedence over these Terms in case of any conflict relating to that engagement.

2. Use of this website

You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use of, this website by any third party. You may not attempt to gain unauthorized access to any portion of the site, its underlying systems, or any data we hold.

3. Intellectual property

All content on this website — including text, graphics, logos, code, and design — is the property of Frontend Core or its licensors and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the site without our prior written consent.

Ownership of deliverables produced under a client engagement is governed by the applicable Statement of Work.

4. Confidentiality

Each party agrees to keep confidential any non-public information shared by the other party in the course of an engagement, and to use that information only to perform its obligations under the relevant Statement of Work. This obligation survives termination of the engagement.

5. Fees and payment

Fees, invoicing schedules, and payment terms for each engagement are specified in the applicable Statement of Work. Unless otherwise agreed in writing, invoices are due within 30 days of receipt. Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

6. Disclaimers

The website and any content provided through it are made available “as is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components.

7. Limitation of liability

To the maximum extent permitted by law, Frontend Core will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the website or our services. Our total liability under these Terms or any Statement of Work will not exceed the fees paid by you to us during the twelve months preceding the event giving rise to the claim.

8. Indemnification

You agree to indemnify and hold Frontend Core, its officers, employees, and agents harmless from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms or your misuse of the website or services.

9. Termination

We may suspend or terminate your access to the website at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users or third parties, or for any other reason at our discretion. Termination of client engagements is governed by the applicable Statement of Work.

10. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising out of or related to these Terms will be resolved in the state or federal courts located in Texas, and you consent to the exclusive jurisdiction of those courts.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Continued use of the website after changes take effect constitutes acceptance of the revised Terms.
